Aji Suryo Utomo

Aji earned his Bachelor's Degree in Law from the Diponegoro University in 2014, where he majored in Business Law, and shortly afterwards came to AHP as an intern, before being made an associate in 2015.

Since commencing his practice at AHP, he has been involved in a series of sophisticated capital market and M&A transactions, among others, the Initial Public Offering of PT Cikarang Listrindo Tbk, one of the longest operating private supplier of electricity in Indonesia, the issuance of Republic of Indonesia's Sukuk under its USD 10,000,000,000 Trust Certificates Issuance Program, and proposed acquisition of one of the largest foreign gold and copper mining company in Indonesia. He is currently working on an Initial Public Offering of an Indonesian company in in reliance on Rule 144A / Regulation S.

Aji is fluent in Indonesian and English.

Transaction Experience

Practice primarily focused on capital market as well as mergers and acquisition. Conducted most of the legal work in English. Selected major projects include:

  • Acting as Indonesian legal adviser to PT Cikarang Listrindo Tbk in the issuance of USD 550,000,000 4.95% Senior Notes due 2026, through its wholly owned subsidiary located in Netherlands, Listrindo Capital B.V. in reliance on Regulation S/Rule 144A under the United States Securities Act.
  • Acting as local legal counsel to Barclays Bank PLC, Deutsche Bank AG, London Branch, J.P. Morgan Securities PLC, and Societe Generale ("Joint Lead Managers") on the dual-tranche issuance of the Republic of Indonesia's Notes amounting to EUR 3 billion due 2023 and 2028 as Series 18 and 19 of the USD 40,000,000,000 Global Medium Term Note Program to be offered outside of Indonesia and to be listed on the Singapore Exchange and the Frankfurt Stock Exchange (2016).
  • Acting as Indonesian legal adviser to PT Cikarang Listrindo Tbk, a sole private electricity supplier to 5 Industrial Estates in Bekasi, in its Initial Public Offering of 1,608,716,000 new shares amounting to IDR 2,413,074,000,000 in reliance on Rule 144 A / Regulation S under the US Securities Act, as well as the sales of 804,358,000 shares owned by the Selling Shareholders which was offered concurrently with the Initial Public Offering (2016).
  • Acting as local legal counsel to the Republic of Indonesia and Perusahaan Penerbit SBSN Indonesia III as the Issuer on the dual-tranche issuance of USD 2.500.000.000 Global Government Sukuk Issuance Program as Series 5 and 6 of the USD 10,000,000,000 Trust Certificates Issuance Program to be offered outside of Indonesia and to be listed on the Singapore Exchange and the NASDAQ Dubai, the largest ever Asian US Dollar denominated Sukuk transaction (2016).
  • Proposed acquisition of a foreign well-known gold and copper mining company in Indonesia (postponed) (2015).
  • Representing PT Saratoga Investama Sedaya Tbk, in its proposed acquisition of PT Express Transindo Utama Tbk, the second biggest taxi company in Indonesia (cancelled) (2015).
  • Acting as counsel to the Issuer, PT Mega Manunggal Property Tbk, a property developer that focuses on providing high quality office and warehousing space in its initial public offering in Indonesia conducted pursuant to the Indonesian Financial Services Authority (OJK) rules (2015).
  • Acting as the Arrangers and Dealers' Indonesian counsel for the update and increase of the Global Government Sukuk Issuance Program as the Series 4 of the USD10,000,000,000 Trust Certificates Issuance Program to be offered outside of Indonesia and to be listed on the Singapore Exchange and the NASDAQ Dubai (2015).
